This Professional Telemedicine Service Provider Consent and Agreement establishes the terms under which licensed healthcare professionals, as service providers, agree to deliver rehabilitation and therapeutic services via the Connect Therapies platform using telemedicine technologies.
By accepting this agreement, You acknowledge that You:
- are a licensed, qualified professional in your stated discipline
- understand and accept the clinical, technical, and ethical responsibilities of telemedicine practice
- commit to delivering care in accordance with professional standards and applicable regulations
- agree to uphold patient safety, confidentiality, and data security obligations
- consent to platform monitoring, audit, and quality assurance procedures
DEFINITIONS
A. Telemedicine Service Delivery
The provision of rehabilitation, therapeutic, and wellness services via:
- audio-video conferencing (synchronous sessions)
- secure digital messaging (asynchronous follow-up)
- digital assessments and progress tracking
- remote exercise prescription and guidance
- electronic documentation and clinical note-taking
B. Professional Scope
Your stated discipline(s) including:
- Occupational Therapy (OT)
- Physiotherapy (PT) / Physical Therapy
- Speech-Language Pathology (SLP) / Speech Therapy
- Rehabilitation Counseling
- Health Coaching (where licensed)
- Other regulated healthcare disciplines as credentialed
C. Patient / Client
Any individual who books a session with You through Connect Therapies.
D. Connect Therapies Platform
The mobile application, web portal, backend infrastructure, and associated systems provided by Thera Nexa Private Limited.
E. Session Recording
Audio and/or video recording of consultation sessions for clinical documentation, quality assurance, compliance audit, or training purposes.
CLINICAL COMPETENCE AND SCOPE OF PRACTICE
You agree to:
- practice only within your licensed scope of practice and declared specialization(s)
- decline or refer sessions outside your area of competence
- maintain current knowledge of clinical evidence and best practices
- disclose any skill or knowledge limitations to Patients upfront
- pursue ongoing professional development (CPD/CME) to maintain competence
- inform Patients of alternative treatment options when clinically appropriate
You acknowledge that telemedicine modality may not be suitable for all conditions, in-person assessment or referral may be clinically necessary, and You are authorised to decline a session or terminate a Patient relationship if clinically contraindicated.
CLINICAL ASSESSMENT AND SUITABILITY
You agree to:
- conduct thorough clinical assessment before accepting a case
- verify Patient history, current medications, and comorbidities
- assess environmental safety and technical capability for telemedicine delivery
- document clinical findings and medical decision-making
- communicate clearly any red flags, contraindications, or emergency risks
- refer Patients to emergency services or in-person care when medically necessary
You acknowledge that:
- initial video assessment is the minimum standard for new Patients (no text-only consults for new cases)
- clinical suitability may only be determined after appropriate assessment
- You may modify, suspend, or terminate telemedicine services based on clinical judgment
PROFESSIONAL STANDARD OF CARE
You commit to:
- adhering to professional clinical guidelines of your regulatory body (APTA, ASHA, IOTA, state boards, etc.)
- documenting all clinical encounters comprehensively and legibly
- maintaining medical records for the duration required by law (minimum 7 years for clinical records)
- following professional code of ethics and conduct standards
- treating all Patients with respect, dignity, and cultural sensitivity
- maintaining professional boundaries and avoiding dual relationships
You understand that You are held to the same clinical standard of care via telemedicine as in-person practice, that deviation from professional standards may result in suspension or termination of privileges, and that complaints regarding professional conduct may be referred to your regulatory board.
PATIENT SAFETY AND EMERGENCY PROTOCOLS
You agree to:
- identify contraindicated conditions requiring emergency referral before each session (chest pain, uncontrolled bleeding, seizures, suicidal ideation, severe shortness of breath, loss of consciousness, stroke symptoms, etc.)
- maintain emergency contact protocols and have access to local emergency numbers
- document all emergency situations and immediately refer to appropriate emergency services
- never minimize or delay emergency care in favour of or due to telemedicine modality
- monitor Patient status during sessions and pause immediately if safety deteriorates
- provide clear instructions to Patients on how to contact emergency services
You acknowledge that Connect Therapies is NOT an emergency service, that sessions may be recorded or monitored for safety and quality purposes, and that You may be asked to certify that no patient emergency occurred during a session.
INFORMED CONSENT AND COMMUNICATION
You agree to:
- provide comprehensive informed consent covering telemedicine benefits, risks, and limitations
- explain confidentiality boundaries (platform security, data sharing, mandatory reporting situations)
- clarify limitations of your telemedicine assessment compared to in-person evaluation
- document Patient consent and maintain records of consent obtained
- communicate session policies (late cancellations, no-shows, rescheduling procedures)
- discuss any session recordings and obtain explicit consent before recording
Patients must understand and agree to telemedicine-specific risks. Lack of informed consent invalidates the clinical relationship. You are responsible for ensuring Patients understand their rights and responsibilities.
DIAGNOSIS, TREATMENT PLANNING, AND PRESCRIPTION
You agree to:
- base all clinical decisions on evidence-based practice and current guidelines
- ensure diagnosis and treatment plans are appropriate for telemedicine modality
- document clinical reasoning and differentiation from alternative diagnoses
- provide clear, written treatment plans with specific, measurable goals
- prescribe exercises and interventions with proper demonstration and written instructions
- modify treatment if Patient response is inadequate or adverse
You acknowledge that You are solely responsible for clinical assessment and diagnostic accuracy, that telemedicine may preclude certain physical examination findings, and that if clinical uncertainty exists, you must see the Patient in person or refer for in-person evaluation.
SESSION CONDUCT AND PROFESSIONAL DEPORTMENT
During each session, You agree to:
- start on time and conduct the session in a professional manner
- maintain professional appearance and conduct throughout
- minimise distractions and provide undivided attention to the Patient
- demonstrate exercises and techniques clearly on camera
- actively listen and respond to Patient concerns and feedback
- avoid simultaneously treating multiple Patients during one scheduled session
- end the session at scheduled time and provide clear continuity-of-care instructions
- be sober, alert, and free from any substances impairing clinical judgment
Sessions may be observed by supervisors or quality assurance reviewers. Violation of professional conduct standards will result in disciplinary action.
PRIVACY, CONFIDENTIALITY, AND DATA SECURITY
You agree to:
- evaluate your session environment for privacy and confidentiality (no bystanders, secure room)
- not record or take personal copies of sessions without explicit written consent
- maintain secure passwords and authentication credentials
- not share login credentials or account access with other individuals
- report suspected data breaches, unauthorised access, or security incidents immediately
- comply with all Patient data requests (access, correction, deletion, portability)
- not access Patient data outside of clinical necessity
Patient data is subject to DPDPA, HIPAA (if applicable), and healthcare confidentiality laws. Breaches of confidentiality may result in legal liability, professional disciplinary action, and termination. Thera Nexa may audit access logs and session conduct for compliance.
SESSION RECORDING AND MONITORING
You acknowledge that sessions may be audio and/or video recorded for:
- clinical documentation and continuity of care
- quality assurance and competency verification
- regulatory compliance and audit
- training and professional development (with anonymization)
- dispute resolution or incident investigation
Recordings are encrypted, stored securely, and retained according to privacy policy (7 years for clinical records). Recordings may be reviewed by supervisors, auditors, or compliance officers.
You agree to:
- inform Patients that sessions may be recorded
- obtain explicit Patient consent before recording begins
- honour Patient requests to pause or stop recording during sensitive discussions (within clinical reason)
DOCUMENTATION AND MEDICAL RECORDS
You agree to:
- complete clinical documentation within 24 hours of session
- include objective findings, assessment, clinical reasoning, and treatment provided
- document any adverse events, safety concerns, or clinical complications
- maintain records in secure, encrypted systems (Thera Nexa platform)
- ensure documentation is legible, dated, electronically signed, and complete
- not alter or delete records; corrections must be documented with timestamp
- provide copies of clinical records to Patients within 10 business days upon request
Clinical documentation is the legal record of care provided. Poor or absent documentation may result in suspension or termination. Records may be reviewed by auditors, regulators, or in case of complaint or litigation.
MANDATORY REPORTING OBLIGATIONS
You agree to:
- maintain awareness of mandatory reporting requirements in your jurisdiction (child abuse, elder abuse, sexual abuse, neglect, threat of harm, etc.)
- report suspected abuse or harm to appropriate authorities as legally required
- inform the Patient of your mandatory reporting obligation after fulfilling the report
- document your report and the authority contacted in Patient records
- cooperate with investigations if contacted by authorities
Mandatory reporting is a legal and ethical obligation. Confidentiality does not override mandatory reporting requirements. Thera Nexa will support and protect you from liability when fulfilling mandatory reporting obligations.
SCOPE LIMITATIONS AND ESCALATION
You agree to refer Patients for in-person evaluation, specialty consultation, or emergency care when:
- clinical assessment requires physical examination beyond telehealth capability
- contraindications for telemedicine are identified
- Patient requires specialist intervention outside your scope
- Patient safety or clinical outcomes are not met through telemedicine
- Patient requests in-person care
You should provide a written referral with clear justification, offer to facilitate connection with recommended providers, and maintain clinical continuity during transition. Declining or referring is a clinical decision reflecting professional judgment. Patients have the right to request in-person evaluation at any time.
PROFESSIONAL CONDUCT STANDARDS
You agree to:
- comply with all applicable laws, regulations, and standards in your jurisdiction
- maintain professional liability insurance appropriate to your practice
- immediately disclose any legal, regulatory, or disciplinary action to Thera Nexa
- not engage in fraudulent, deceptive, or unethical practices
- not pressure Patients for unnecessary services or excessive billing
- not solicit Patients off-platform to circumvent platform protections or revenue-sharing terms
- disclose any personal, financial, or familial relationships with Patients
- decline to treat Patients where conflict of interest exists
- communicate with Patients respectfully, clearly, and in language they understand
- not discriminate based on race, colour, religion, sex, national origin, age, disability, or sexual orientation
- respond to Patient inquiries and messages within 48 business hours
You acknowledge that violation of ethical or legal standards may result in account suspension or termination, and that Thera Nexa may be obligated to report violations to regulatory authorities.
TECHNICAL REQUIREMENTS AND PLATFORM COMPLIANCE
You agree to:
- maintain reliable, high-speed internet connection (minimum 5 Mbps download, 2.5 Mbps upload)
- use a device with functional camera, microphone, and speaker
- ensure video and audio quality is clear and professional
- update the Connect Therapies app and operating system to current versions
- test connectivity and audio-video quality before each session
- notify Patients immediately if technical problems occur and offer rescheduling
- have a backup communication method for technical failure
- use the platform only for legitimate professional practice
- not attempt to hack, circumvent, or reverse-engineer platform security
- report suspected security breaches or unauthorised access immediately
You agree to allow Thera Nexa to monitor and audit your professional activity for compliance, review session recordings and Patient communication records for quality assurance, and request compliance surveys or training as needed.
LIABILITY, INSURANCE, AND INDEMNIFICATION
You acknowledge that:
- You are solely responsible for clinical decisions and outcomes
- You maintain professional liability insurance appropriate to telemedicine practice
- You assume liability for negligence, breach of duty, or professional misconduct
- Thera Nexa does not provide malpractice insurance
- adverse events or Patient injuries may result in malpractice litigation directed at You
- You are required to disclose any prior malpractice claims, settlements, or judgments
- misrepresentation of disciplinary history or legal history is grounds for immediate termination
You agree to indemnify and hold harmless Thera Nexa Private Limited, its owners, managers, employees, and agents from claims, damages, or losses arising from Your professional services or conduct, breach of this Agreement or applicable laws, violation of Patient rights or confidentiality, malpractice or professional misconduct, and Patient injuries or adverse outcomes resulting from Your care.
Thera Nexa's liability is limited to platform technical failures within its control and to Thera Nexa's gross negligence or wilful misconduct.
TERMINATION AND SUSPENSION
Thera Nexa may suspend or terminate your access immediately if:
- You violate any material provision of this Agreement
- You engage in professional misconduct or unethical practice
- You receive disciplinary action from your regulatory board
- You violate Patient confidentiality or data privacy
- You provide care outside your licensed scope of practice
- You misrepresent credentials or qualifications
- You engage in fraudulent billing or financial impropriety
- You pose a safety risk to Patients
- You fail to maintain professional liability insurance
Upon suspension or termination, You will receive written notice explaining the reason and effective date. You have 15 days to submit a written appeal with supporting documentation. The appeal will be reviewed by a senior compliance officer and a final decision communicated within 30 days. Suspended or terminated Professionals may not re-apply for 12 months without evidence of remediation.
REGULATORY COMPLIANCE
You represent and warrant that:
- You hold a current, valid, unrestricted licence to practice in your stated discipline
- Your licence is in good standing with no disciplinary action, investigation, or restriction
- You meet all continuing education requirements of your licensing board
- You have disclosed all licences and credentials in your profile
You agree to immediately notify Thera Nexa if your licence is suspended, revoked, or restricted, and to comply with all applicable telemedicine regulations in your jurisdiction.
You acknowledge that Thera Nexa may be required to report certain adverse events or professional misconduct to regulatory authorities. You waive any objection to such reporting to state medical boards, professional licensing boards, or law enforcement.
CONFIDENTIALITY AND NON-DISCLOSURE
You agree to:
- maintain confidentiality of Thera Nexa's proprietary platform information
- not disclose business processes, Patient data, billing information, or system vulnerabilities
- not use Thera Nexa's platform, technology, or Patient list for competing services
- not reverse-engineer or copy platform code or design
Violation of non-disclosure obligations may result in legal action and damages.
AMENDMENTS AND CONTACT
This Agreement may be amended by Thera Nexa at any time with 30 days' written notice. Your continued use of the platform after the amendment date constitutes acceptance of modified terms.
